These Terms & Conditions govern all business transactions with Mishraji Trading Company. By placing an order, the buyer agrees to these terms.

1. 🏢 Business Nature

Mishraji Trading Company operates as a B2B supplier of CNC cutting tools, inserts, and machining accessories. Transactions are primarily intended for business and industrial use.

2. 🛒 Orders & Acceptance

• Orders may be placed via website, WhatsApp, email, or direct communication.
• All orders are subject to final confirmation by Mishraji Trading Company.
• Once confirmed, orders cannot be cancelled or modified without prior approval.
• Custom or special orders are non-cancellable and non-refundable.

3. 💰 Pricing & GST

• All prices are exclusive of GST, unless stated otherwise.
• GST will be charged as per applicable rates under Indian tax laws.
• Buyers who wish to claim input tax credit must provide a valid GSTIN at the time of purchase.
• In case GSTIN is not provided, the transaction will be treated as a retail sale (B2C) and no changes to invoice details will be made later.

4. 💳 Payment Terms

• 100% advance payment is required unless a credit agreement is approved.

• For approved credit customers:

  • Payment must be made within the agreed credit period (e.g., 7/15/30 days).
  • Late payments may attract interest up to 18% per annum.
• Mishraji Trading Company reserves the right to withhold supplies in case of overdue payments.

5. 🚚 Dispatch & Delivery

• Dispatch timelines are indicative and depend on stock availability.
• Delivery is arranged via third-party logistics.
• Risk transfers to the buyer upon dispatch or delivery, as applicable.
• Any delivery delays due to transporters are not our liability.

6. 📦 Inspection & Claims

• Buyers must inspect goods at the time of delivery.
• Any damage, shortage, or discrepancy must be reported within 48 hours of delivery.
• Claims after this period may not be entertained.

7. 🔄 Returns & Replacement

• Returns are accepted only for defective or incorrect items.
• Items must be unused and in original packaging.

• No return for:

  • Used tools
  • Consumables
  • Special order items
• Replacement will be processed after inspection and approval.

8. ⚙️ Product Usage Responsibility

• Buyers are responsible for selecting the correct product for their application.

• Mishraji Trading Company is not liable for:

  • Tool failure due to improper usage
  • Machine damage
  • Production losses

9. 🧾 Warranty

• Warranty, if applicable, is strictly as per the manufacturer’s terms.
• We act only as a supplier and do not guarantee manufacturer warranties.

10. ⚖️ Limitation of Liability

• Our liability is limited strictly to the value of goods supplied.

• We are not liable for:

  • Indirect or consequential losses
  • Business interruption
  • Loss of profits

11. 🔒 Intellectual Property

All trademarks, logos, and content belong to Mishraji Trading Company and may not be used without written consent.

12. 🚫 Force Majeure

We are not liable for failure or delay due to events beyond control, including natural disasters, strikes, transport disruptions, or government actions.

13. 📍 Jurisdiction

All disputes are subject to the jurisdiction of Ghaziabad, Uttar Pradesh courts only.

14. ✏️ Amendments

Mishraji Trading Company reserves the right to modify these terms at any time without prior notice.
